Westcorp/WFS Financial Shareholders Approve Mergers with Wachovia
IRVINE, Calif. -- Westcorp shareholders approved the agreement and plan of merger among Wachovia Corp., Westcorp, Western Financial Bank and WFS Financial, and the merger of Westcorp with and into Wachovia, with Wachovia as the surviving corporation at a special meeting held last week.

More than 99 percent of the votes cast at the special meeting were in favor of approving the merger agreements and mergers.
Each company also announced that the Federal Trade Commission has granted early termination of the applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, which was effective as of Jan. 3.
The transactions are expected to close in the first quarter of 2006, subject to the receipt of certain regulatory approvals.
